1. Acceptance of Terms

By accessing or using the GreyRock website located at https://mygreyrock.app and/or https://mygreyrock.ai (the “Site”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not access or use the Site. These Terms constitute a legally binding agreement between you and GreyRock Tech Inc., a Delaware C corporation (“Company,” “we,” “us,” or “our”).

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated effective date. Your continued use of the Site after any modifications constitutes your acceptance of the revised Terms. We will provide notice of material changes via email or in-app notification where reasonably practicable.

2. Eligibility

You must be at least 18 years old to use the Site. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are accessing the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Description of the Site

GreyRock is a communication intelligence tool designed to help individuals in high-conflict situations, often with co-parenting relationships, to analyze incoming messages, document patterns, and draft responses. The Site provides information about our service, allows you to create an account, and access the GreyRock platform.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. When you create an account, you agree to:

  • —Provide accurate, current, and complete information during registration
  • —Maintain and promptly update your account information to keep it accurate and complete
  • —Maintain the security and confidentiality of your login credentials
  • —Not share your account credentials with others
  • —Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unlawful purposes.

5. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • —Harass, threaten, or intimidate any person
  • —Submit false, fraudulent, or misleading content
  • —Use the Site to generate content intended to be used as evidence of threats or harassment
  • —Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
  • —Violate any applicable law or regulation
  • —Attempt to reverse-engineer, scrape, or otherwise extract data from the Site
  • —Use the Site to train competing AI models
  • —Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful
  • —Use any robot, spider, scraper, or other automated means to access the Site for any purpose
  • —Engage in any conduct that restricts or inhibits anyone else from using the Site

6. Intellectual Property

The GreyRock name, logo, and product design are proprietary. The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, graphics, video, audio, design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not use such marks without the prior written permission of the Company.

7. User-Generated Content

The Site may allow you to input messages, upload screenshots and court documents, and receive AI-generated response suggestions and pattern analysis. You retain ownership of all content you submit to the Site. By submitting content, you grant us a limited, non-exclusive, royalty-free license to process it for the purpose of providing the Service to you. We do not claim ownership of your messages, documents, or timeline data.

You are solely responsible for the content you submit and the manner in which you use any AI-generated suggestions provided by the Site. We do not endorse, guarantee, or assume responsibility for any content generated through our service.

8. AI-Generated Content Disclaimer

The AI-generated response suggestions, pattern analysis, and document summaries provided through the Site are for informational and educational purposes only. These outputs:

  • —Do not constitute legal advice and should not be relied upon as such
  • —Are not a substitute for professional legal, psychological, or relationship counseling
  • —May be imprecise and should always be reviewed with your own judgment before use
  • —Should not be submitted as evidence in legal proceedings without consulting a licensed attorney

You acknowledge and agree that you are solely responsible for reviewing, editing, and deciding whether to use any AI-generated suggestions. The Company is not liable for any consequences arising from your use of AI-generated content.

9. Children's Information

GreyRock does not knowingly collect personal information about minors. The Service is designed to help adults document and manage communication. Information entered into the Service relates to adult users' situations, not to any children that might be involved. Do not submit personal information about a child (such as their name, school, or medical details) into the Service unless it is directly relevant to documenting a specific communication.

10. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

11. Disclaimer of Warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. AI ANALYSIS MAY BE IMPRECISE. ALWAYS APPLY YOUR OWN JUDGMENT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GREYROCK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR EMOTIONAL DISTRESS, ARISING OUT OF YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

14. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court, except that either party may bring a claim in small claims court if it qualifies.

Class action waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and GreyRock individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Arbitration shall take place in San Francisco, California, or via videoconference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any claims not subject to arbitration shall be brought exclusively in the state or federal courts located in San Francisco County, California.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, Terms of Service, and Medical Disclaimer, constitute the sole and entire agreement between you and GreyRock regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
